1. Agreement to Terms

These Terms of Service ("Terms") govern your use of Qlent's website, services, and software solutions (collectively, the "Services"). By accessing or using our Services, you agree to be bound by these Terms. If you disagree with any part of the Terms, you may not access the Services.

2. Services Description

Qlent provides elite software consulting services, including but not limited to legacy system modernization, AI & machine learning implementation, cloud migration, custom software development, DevOps transformation, and technical due diligence.

We reserve the right to modify, suspend, or discontinue any part of our Services at any time, with or without notice to you.

3. Client Engagements

All client engagements are governed by separate Master Services Agreements or Statements of Work, which take precedence over these Terms for the specific engagement. These Terms apply to general website use and inquiries.

Project timelines, deliverables, and payment terms are specified in the applicable Statement of Work. Unless otherwise specified, all fees are non-refundable.

4. Intellectual Property

4.1 Qlent IP

All content on our website, including text, graphics, logos, icons, images, audio clips, digital downloads, and software, is the property of Qlent or its content suppliers and is protected by international copyright laws.

4.2 Client IP

Unless otherwise specified in a Statement of Work, clients retain ownership of pre-existing intellectual property and custom deliverables created specifically for the client during an engagement.

4.3 Qlent Tools

Qlent retains ownership of all proprietary tools, methodologies, processes, and reusable components used or developed during client engagements.

5. Confidentiality

We treat all client information as confidential and do not disclose it to third parties except as required to deliver the Services or as required by law. Detailed confidentiality terms are included in client-specific agreements.

6. Limitation of Liability

To the maximum extent permitted by law, Qlent shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from:

  • Your use or inability to use our Services
  • Any unauthorized access to or use of our servers and/or any personal information stored therein
  • Any interruption or cessation of transmission to or from our Services
  • Any bugs, viruses, trojan horses, or the like that may be transmitted to or through our Services

7. Indemnification

You agree to defend, indemnify, and hold harmless Qlent and its officers, directors, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses arising from your use of and access to the Services.

8. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions. Any dispute arising under these Terms shall be resolved exclusively in the state and federal courts located in San Francisco County, California.

9. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of significant changes by posting the new Terms on our website and updating the "Last Updated" date. Your continued use of our Services after such changes constitutes your acceptance of the new Terms.
